The Group Executive Council (GEC) is the highest executive decision-making body within Fiat Industrial outside of its Board of Directors¹. Effective 12 November 2012, it is responsible for reviewing the operating performance of the businesses, setting performance targets, making key strategic decisions and investments for the Group, making capital allocations and sharing best practices, including the development and deployment of key managerial resources.
GEC is composed of 4 main groupings and its Chairman is Sergio Marchionne.
Chairman
The first group consists of four Regional Operating Groups integrating Agricultural Equipment, Construction Equipment, and Commercial Truck businesses, plus Powertrain (FPT Industrial). Each is the responsibility of a Chief Operating Officer (COO) who drives the organization via a regional Management Team. The COOs are accountable for Profit and Loss of their region/business, the management of regional resources, including manufacturing and commercial activities. They report to the Group COO.

The second group reflects the Group's focus and emphasis on its brands. Each of the global brands is represented in the GEC, and their responsibility is to improve and develop an appropriate brand portfolio and to assist in the development of adequate commercial and marketing strategies in each of the Group’s operating regions.

The third group is composed of industrial and commercial leaders, who drive consistency and rigor across the operating regions, and optimize the Group’s capital allocation choices.

GEC is supported by Alessandro Nasi as the GEC Coordinator.
(1) Fiat Industrial S.p.A. has only a majority ownership interest in CNH Global N.V., which is ultimately governed by its own Board of Directors. To the extent that any decision of the GEC impacts CNH Global N.V. and falls within the review and/or decision ambit of the Board of Directors of CNH Global N.V., such decisions are also subject to the approval of the CNH Board. (2) Certain functions that are fundamental to the governance structure of the individual companies (such as Legal and Internal Audit) remain independently within the ambit of the operating companies (Fiat Industrial and CNH).
